1. About These Terms

These Terms and Conditions govern your use of www.northwindprep.com, your Northwind Prep account, and any digital products purchased through the website.

These Terms form an agreement between you and Northwind Prep, a registered business operating from Ontario, Canada.

In these Terms, “Northwind Prep,” “we,” “us,” and “our” refer to Northwind Prep. “You” and “your” refer to the customer or user.

By creating an account, purchasing a product, selecting the acceptance checkbox at checkout, or accessing purchased content, you agree to these Terms.

Our Privacy Policy and Cookie Policy also apply to your use of the website.
 

2. Eligibility and Account Information

You must be at least 18 years old, have reached the age of majority where you live, or have the permission and supervision of a parent or legal guardian who accepts these Terms on your behalf.

You agree to provide accurate and complete information when creating an account or completing a purchase.

Your account is personal to you. You are responsible for:

• Keeping your password confidential
• Maintaining access to the email address associated with your account
• Preventing unauthorized use of your account
• Notifying Northwind Prep if you suspect unauthorized access

You may not share, sell, transfer, rent, or sublicense your account or password.
 

3. Products

Northwind Prep provides independently developed digital exam-preparation products, including:

• RAI Study Notes
• Chapter quizzes and module tests
• Full-length mock examinations
• Answer explanations
• Study roadmaps and supporting materials
• Study Notes and Mock Exams bundles
• Other digital learning resources described on the website

The specific contents of your purchase are those displayed on the applicable product page and checkout summary at the time of purchase.

Northwind Prep may correct errors, replace defective questions, clarify explanations, repair broken links, or make formatting and technical improvements.
 

4. Independent Preparation Materials

Northwind Prep is an independent provider of exam-preparation materials.

Northwind Prep is not affiliated with, endorsed by, sponsored by, or approved by the Global Association of Risk Professionals (“GARP”).

Northwind Prep does not provide:

• Registration for the official RAI Exam
• Access to the official GARP curriculum
• Official or confidential GARP examination questions
• Questions copied from a live examination
• Any guarantee that particular questions or topics will appear on the official examination

“GARP,” “RAI,” and related names and marks belong to their respective owners. References to them are used only to identify the examination for which Northwind Prep’s independent preparation materials are designed.

Northwind Prep materials supplement and do not replace the official curriculum, candidate guide, learning objectives, examination policies, or errata published by GARP.
 

5. Prices, Currency, and Taxes

Unless stated otherwise:

• Prices are displayed and charged in United States dollars
• Purchases are one-time payments
• Products do not renew automatically
• There are no recurring subscription charges
• Applicable taxes may be added at checkout
• Currency-conversion or banking fees may be charged by your payment provider

You are responsible for reviewing the product, price, currency, taxes, discounts, and final order total before completing your purchase.

Discounts and promotional codes:

• May be subject to additional conditions
• Cannot be exchanged for cash
• May not be combined unless expressly permitted
• Do not apply retroactively to earlier purchases
• May be withdrawn or changed before a purchase is completed

 

6. Payments

Payments may be processed through Stripe or another payment provider displayed at checkout.

By completing your purchase, you authorize the payment provider to charge the selected payment method for the total shown at checkout.

Northwind Prep does not intentionally store your complete payment-card number.

A purchase is not complete until payment has been successfully authorized. Northwind Prep may delay, reject, or cancel an order where:

• Payment is declined, reversed, or disputed
• Additional verification is required
• Fraud or unauthorized use is reasonably suspected
• The order contains an obvious pricing or technical error

 

7. Digital Delivery

Products are delivered electronically through the Northwind Prep learning platform.

Access is normally provided shortly after successful payment and account creation. Delivery may be delayed by:

• Payment verification
• Email or account verification
• Fraud-prevention checks
• Scheduled maintenance
• Technical problems
• Circumstances outside Northwind Prep’s reasonable control

A purchase confirmation will be sent to the email address associated with your account. You are responsible for providing a valid email address and checking your spam or junk folder.
 

8. Twelve-Month Access Period

Each purchase provides access to the purchased product for 12 months from the date of successful purchase and enrolment.

For example, access to a product purchased on July 15, 2026 would ordinarily expire on July 15, 2027.

The following conditions apply:

• Access expires automatically after 12 months
• Access does not renew automatically
• The purchase does not include lifetime access
• Products included in a bundle generally share the same expiration date
• Failure to use the product does not pause or extend the access period
• Postponing, rescheduling, or not taking the official examination does not automatically extend access

Northwind Prep may provide an extension in exceptional circumstances at its discretion or where required by applicable law.

After access expires, a new purchase may be required to regain access.
  

9. Editions and Updates

Your purchase provides access to the product edition described at the time of purchase.

During the access period, Northwind Prep may provide:

• Corrections and clarifications
• Replacement questions
• Updated explanations
• Formatting improvements
• Minor revisions to the purchased edition
• Technical and usability improvements

Your purchase does not automatically include:

• Future curriculum-year editions
• Products redesigned for a later syllabus
• Newly created products
• Additional mock-exam packs not included in the original purchase
• Access beyond the original 12-month period

Northwind Prep will not intentionally remove a material part of the purchased product during the access period without providing a reasonable replacement or remedy.
 

10. Personal-Use Licence

Northwind Prep retains all ownership and intellectual-property rights in its products.

Your purchase grants you a limited, personal, non-exclusive, non-transferable, and revocable licence to use the purchased product for your own non-commercial exam preparation during the access period.

You may download or print material only where Northwind Prep expressly provides that functionality and only for your personal use.

You may not:

• Share your account or password
• Copy or reproduce substantial portions of the materials
• Share questions, answers, explanations, or Study Notes with others
• Upload materials to shared drives, websites, forums, social media, or file-sharing services
• Create or contribute to an unauthorized question bank
• Sell, resell, rent, sublicense, or commercially exploit the materials
• Systematically photograph, record, screen-capture, or copy the products
• Scrape, crawl, index, or automatically extract content
• Remove copyright, trademark, or ownership notices
• Create a competing or derivative commercial product
• Circumvent security, copying, download, or account restrictions
• Use the materials to train, fine-tune, evaluate, or populate an artificial-intelligence system without written permission

 

11. Mock Examinations and Results

Mock examinations are educational practice tools.

Mock-exam scores, answer reviews, and other performance information:

• Are not official GARP examination results
• Do not guarantee or predict success on the official examination
• May become less meaningful after repeated attempts
• Should be used as one part of a broader preparation process

Northwind Prep does not guarantee that purchasing or completing a product will result in:

• Passing an examination
• Receiving a certificate
• Obtaining employment or promotion
• Achieving any professional or financial outcome

 

12. Refunds and Cancellations

12.1 General policy

Because digital access is normally provided immediately, purchases are generally non-refundable after access has been activated, except where:

• A refund is required by applicable law
• The same product was charged more than once by mistake
• The product was materially different from its description
• A verified technical problem prevents access and Northwind Prep cannot resolve it within a reasonable period
• Northwind Prep expressly agrees to provide a refund

Refunds are not normally provided because:

• You changed your mind after receiving access
• You did not use or complete the product
• You postponed or did not take the official examination
• You did not pass the official examination
• You expected different examination questions
• You purchased the wrong product without reviewing its description
• A discount became available after your purchase

Requests should be sent promptly to support@northwindprep.com with your account email, order information, and an explanation of the issue.

12.2 Mandatory consumer rights

Nothing in these Terms removes or limits any cancellation, refund, repair, replacement, or other consumer right that cannot legally be excluded in your jurisdiction.

  

13. Chargebacks and Payment Disputes

Please contact Northwind Prep before starting a chargeback or payment dispute so that we have a reasonable opportunity to investigate and resolve the issue.

Nothing in these Terms prevents you from exercising a legitimate right through your bank or payment provider.

Northwind Prep may temporarily suspend access while a chargeback, payment reversal, or fraud investigation is pending. Access may be terminated if payment is permanently reversed, subject to applicable consumer law.
 

14. Technical Requirements and Availability

You are responsible for maintaining:

• A compatible device
• A reasonably current browser
• A stable internet connection
• A working email address
• Any software needed to view commonly used document or media formats
• Appropriate device and account security

Northwind Prep does not guarantee that the website or products will always be uninterrupted, error-free, or compatible with every device.

Temporary interruptions may occur because of:

• Maintenance
• Security updates
• Hosting or network failures
• Third-party platform problems
• Payment-provider problems
• Events outside Northwind Prep’s reasonable control

Where a substantial interruption materially reduces the paid access period, Northwind Prep may provide a reasonable extension or another appropriate remedy.
 

15. Suspension and Termination

Northwind Prep may suspend or terminate access where there is reasonable evidence of:

• Account or password sharing
• Unauthorized copying or distribution
• Fraud or unauthorized payment activity
• Scraping or automated content extraction
• Attempts to bypass security restrictions
• Use of the materials to create a competing product
• Unlawful activity
• A serious or repeated breach of these Terms

Where appropriate, Northwind Prep will provide notice and a reasonable opportunity to address the issue. Immediate suspension may be used where necessary to protect the platform, content, accounts, or other users.

Termination for a serious breach may occur without a refund, subject to mandatory consumer rights.
 

16. Educational Information Only

Northwind Prep products are provided solely for educational and exam-preparation purposes.

They do not constitute:

• Legal advice
• Financial or investment advice
• Accounting or tax advice
• Regulatory advice
• Professional risk-management advice
• A substitute for professional judgment or official examination guidance

Although Northwind Prep takes reasonable steps to improve accuracy, materials may contain errors, omissions, interpretations, or information that later becomes outdated.

You remain responsible for consulting the official examination provider’s current curriculum, candidate guide, learning objectives, policies, and errata.
 

17. Privacy and Cookies

Northwind Prep handles personal information as described in its Privacy Policy.

Information may be processed by providers involved in:

• Website and course delivery
• Account administration
• Payment processing
• Email delivery
• Customer support
• Security and fraud prevention
• Analytics, where enabled

The Cookie Policy explains how cookies and similar technologies are used.
 

18. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

To the fullest extent permitted by law, Northwind Prep will not be liable for:

• Failure to pass an examination
• Loss of employment, income, opportunity, business, profit, or reputation
• Decisions made in reliance on educational materials
• Indirect, incidental, special, or consequential losses
• Problems caused by third-party services outside Northwind Prep’s reasonable control
• Loss caused by account sharing or failure to secure your password
• Failure to use purchased access before it expires

Where liability may legally be limited, Northwind Prep’s total aggregate liability relating to a purchased product will not exceed the amount paid to Northwind Prep for that product.

This section does not reduce any mandatory consumer remedy.
 

19. Changes to Products and Terms

Northwind Prep may update these Terms to reflect changes in:

• Products or operations
• Technology or service providers
• Payment or account processes
• Security requirements
• Legal or regulatory obligations

Updated Terms will be posted with a revised effective date.

The version accepted at the time of purchase will normally govern that purchase. Northwind Prep will not retroactively remove material paid rights without notice and an appropriate legal basis.

Changes required for security, fraud prevention, legal compliance, or correction of an obvious error may take effect during an existing access period.
 

20. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Nothing in this section deprives a consumer of mandatory protections available under the laws applicable in the consumer’s place of residence.

Before commencing formal proceedings, you and Northwind Prep agree to make a reasonable effort to resolve the dispute by providing the other party with relevant details and an opportunity to respond.

Subject to any mandatory consumer right concerning jurisdiction, disputes may be brought before the courts of Ontario, Canada.
 

21. General Provisions

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Failure to enforce a provision immediately does not waive the right to enforce it later.

You may not transfer your account, purchase, or rights under these Terms without written permission.

Northwind Prep may transfer its rights and obligations as part of a business sale, restructuring, or transfer, provided that the customer’s material rights are not reduced.

These Terms, the applicable product description, checkout information, purchase confirmation, Privacy Policy, and Cookie Policy form the agreement concerning your purchase.
